# StratCraft API Credits Top-Up Terms **Effective Date**: February 16, 2026 **Version**: 1.0 These API Credits Top-Up Terms ("Credits Terms") govern the purchase and use of prepaid API Credits on the StratCraft platform. These terms are supplementary to, and form part of, the StratCraft [Terms of Service](terms-of-service.md). In the event of any conflict between these Credits Terms and the Terms of Service, these Credits Terms shall prevail with respect to API Credit purchases. Definitions - **"Credits"** means the prepaid units of value purchased by you for use with StratCraft API services and platform AI computational services. - **"Platform Services"** means the API calls, AI inference, backtesting operations, and other computational services available on the StratCraft platform that consume Credits. - **"Account"** means your registered StratCraft user account. ## 2. Purchase of Credits 2.1. Credits must be purchased prior to using the Platform Services. Credits will be applied to your usage according to the pricing displayed on the Pricing page at the time of each API call. 2.2. The minimum top-up amount and available denominations are displayed on the Credits purchase page. 2.3. All Credit prices are denominated in US Dollars (USD). 2.4. You must provide complete and accurate billing information and use a valid, accepted payment method. Payments are processed through our third-party payment processor (Stripe). ## 3. Use of Credits 3.1. Credits may be used for: API calls, platform AI services, backtesting operations, and other computational services as specified on the platform. 3.2. Failed API requests are not charged. You will only be billed for successful API calls and completed operations. 3.3. Credit consumption rates for each service are published on our Pricing page and may be updated from time to time in accordance with Section 8. ## 4. Non-Refundable Policy 4.1. **All Credit purchases are final. All payments for Credits are non-refundable, non-cancellable, and non-creditable**, except: (a) Where required by applicable law; or (b) Where you exercise a statutory right of withdrawal as described in Section 7 (Regional Consumer Rights). 4.2. Credits have no cash value. Credits are not legal tender or currency; are not redeemable, refundable, or exchangeable for any sum of money or monetary value; have no equivalent value in fiat currency; and do not constitute or confer upon you any personal property right. 4.3. Credits cannot be transferred, sold, gifted, or traded to other accounts or other individuals. Any attempt to do so may result in revocation of Credits and/or termination of your Account, without refund. ## 5. Credit Expiration 5.1. Credits expire **twelve (12) months** from the date of purchase if not used. This expiration date cannot be extended. 5.2. Upon expiration, any unused Credits will be forfeited and will not be refunded or credited to your Account. 5.3. It is your responsibility to monitor your Credit balance and expiration dates via your Account dashboard. We will make reasonable efforts to notify you before Credits expire, but failure to provide such notification shall not extend the expiration date or create any right to a refund. 5.4. Expired Credits will remain viewable in your Account billing history for record-keeping purposes. ## 6. Account Termination 6.1. **Termination by you**: If you close your Account, any remaining unused Credits will be forfeited. No refund will be issued for unused Credits. 6.2. **Termination by StratCraft for violation**: If we terminate your Account due to a violation of our Terms of Service, Usage Policy, or any applicable law, you will not be entitled to any refund for remaining Credits. 6.3. **Termination by StratCraft for convenience**: If we terminate your Account for reasons other than a violation of our terms, we will issue a pro-rata refund for remaining unused, unexpired Credits. 6.4. **Service discontinuation**: If we permanently discontinue the API services that consume Credits, we will provide at least thirty (30) days advance notice and issue a pro-rata refund for remaining unused, unexpired Credits. 6.5. Upon termination for any reason, you must pay all outstanding fees, including any unpaid charges incurred up to the termination date. ## 7. Regional Consumer Rights 7.1. **European Union / EEA**: If you are a consumer in the European Union or European Economic Area, you may have a statutory right of withdrawal within fourteen (14) days of purchase under the EU Consumer Rights Directive. If you exercise this right, we will reimburse all payments received without undue delay and not later than fourteen (14) days after receiving your notice of withdrawal, using the same payment method. You will not incur any fees as a result of such reimbursement. However, if you have expressly consented to the immediate provision of the digital service and acknowledged the loss of your withdrawal right at checkout, this statutory right may not apply in accordance with Article 16(m) of Directive 2011/83/EU. 7.2. **Brazil, Mexico, South Korea, Taiwan**: If you are a resident of these regions, you may cancel your Credit purchase within seven (7) days of purchase in accordance with local statutory requirements. Reimbursement will be processed within fourteen (14) days using the original payment method. Credits consumed prior to cancellation will be deducted proportionately from the refund amount using the formula: Refund = Purchase Amount - (Consumed Credits x Unit Price). 7.3. Nothing in these Credits Terms shall limit or exclude any rights that you may have under applicable mandatory consumer protection laws that cannot be waived or limited by contract. ## 8. Pricing Changes 8.1. We reserve the right to modify Credit pricing and consumption rates at any time. Price changes will be communicated with at least **thirty (30) days** advance notice via email to your registered account address or via platform notification. 8.2. Credits purchased before a price change will be honored at the consumption rate in effect at the time of each API call, not at the time of purchase. 8.3. Continued purchase of Credits after a price change takes effect constitutes acceptance of the new pricing. ## 9. Taxes 9.1. All fees are exclusive of taxes unless stated otherwise. You are responsible for paying any applicable taxes, including but not limited to VAT, sales tax, GST, or other government-imposed levies, except for taxes based on StratCraft's net income. 9.2. If StratCraft is required to collect or remit taxes on your behalf, such taxes will be added to your invoice or charged to your payment method. ## 10. Modifications to These Terms 10.1. We may update these API Credits Top-Up Terms from time to time. Material changes will be communicated with at least **thirty (30) days** advance notice via email to your registered account address. 10.2. Minor updates (formatting, clarifications that do not affect your rights) may be made without prior notice and will be reflected by an updated Version number and Effective Date. 10.3. Your continued purchase or use of Credits after changes take effect constitutes acceptance of the updated terms. If you do not agree to the changes, you should use your remaining Credits before the changes take effect. ## 11. Governing Law 11.1. These Credits Terms shall be governed by and construed in accordance with the laws specified in the StratCraft Terms of Service. ## 12.
